Penny was appointed General Counsel in April 2016 after joining Bupa in 2010.
Penny has extensive international legal experience in regulated financial services, originally qualifying as a lawyer in Australia and then moving to the UK, where she held in-house legal positions at Invesco and Macquarie. Paula first studied medicine and worked as a general practitioner in the UK before studying public health in the US. She holds an MBA from London Business School, a Master`s degree in Bioethics and Medical Law and a Diploma in Consulting. A recurring theme among the main in-house legal teams is the ability not only to provide technical legal advice, but also to complement it with business advice. This is the philosophy that Penny Dudley, Bupa`s general counsel since the beginning of 2016, is trying to teach her team of more than 150 employees in 13 countries. “The legal function is an integral part of Bupa; We try not to have this separation between the company and the legal,” she says. “While we can of course recruit people with important technical skills, it`s the interpersonal skills, business knowledge and influence of management that make the difference.” The global healthcare company employs more than 78,000 people – a quarter of them in the UK – and focuses mainly on health insurance and healthcare. The Group`s result is approximately £12.2 billion, with key operations in Australia, Spain, Chile, Poland, Hong Kong, Brazil, New Zealand, Saudi Arabia, India and the United States. As a result, Bupa`s legal team was involved in a significant number of transactions in 2017: completion of the acquisition of Oasis Dental Care in the UK for €835 million. GBP and the sale of 110 retirement homes to HC-One for £300 million. Dudley`s team was also working as part of the core team on a data incident involving the insurance industry in mid-2017, when an employee inappropriately copied and deleted company customer information, affecting about 108,000 insurance policies. She says technology plays two roles for the internal team and the entire company: first, by changing the way it interacts with its customers, and second, by making the legal function more efficient.
Bula`s focus on digitizing the customer experience raises a number of issues to which the legal department contributes, but the team is also trying to use technology to connect seamlessly across its jurisdictions. Senior Legal Advisor Angélique de Lafontaine will be recognized for her contribution to the new Innovation Centre, working on a number of projects and developing strategic partnerships in the field of innovation. The team is also testing DocuSign, but Dudley admits, “We`re still in the early stages of what I want to do as a digital function.” Bula`s in-house role introduced a Director of Legal Operations in 2016 and brought in Rachel Kerr from PwC. Dudley says the role was created after it was recognized that the demands of the job had increased to a point where someone with operational skills would be beneficial. The team stresses the importance of being able to work with agility and that the internal team, whenever possible, leads larger and more complex projects, rather than outsourcing them to external consultants. “Legal services spread across multiple jurisdictions mean there are many jobs and tasks where an effective operations manager will be able to connect people and bring the legal team together as a unit.” Previously, he was Group Secretary at Old Mutual plc, the international financial services group, where he held senior positions in corporate governance and law for over eight years.
